Terms & Conditions

01 The Contractual Basis

1.1. These Terms and Conditions constitute the entire agreement between CoreLabs Enterprise ("the Seller") and the purchasing entity ("the Purchaser"). No variations are valid unless expressly authorized in writing by a CoreLabs executive officer.

02 Procurement & Global Pricing

2.1. All technical specifications, CAS data, and illustrations in our digital catalog are for reference only. CoreLabs reserves the right to adjust molecular designs or supply sources to maintain purity standards.

2.2. Prices are Net Ex-Works (EXW) and exclusive of VAT/Customs. We reserve the right to apply Specialized Handling Charges for hazardous or temperature-sensitive compounds requiring advanced cold-chain packaging.

03 Financial Protocols

3.1. Domestic (UK): Payment is strictly due 30 days from the invoice date. Arrears will accrue interest at 2% above the Lloyds Bank plc Base Rate.

3.2. Global/Institutional: All international orders require payment in full upon procurement unless a prior Credit Facility has been established.

04 Logistics & Risk Transfer

4.1. Transfer of Risk: Risk in the goods passes to the Purchaser immediately upon delivery to the carrier at our distribution center.

4.2. Delivery Estimates: While CoreLabs utilizes a $15M logistics infrastructure to ensure speed, all dates are estimates. Late delivery does not entitle the Purchaser to cancel orders or withhold payment.

4.3. Return Policy: High-purity chemical compounds cannot be returned once the seal is compromised due to technical integrity and safety protocols. Authorized returns incur a 30% restocking and inspection fee.

05 Mandatory Research Disclosure

Strict Laboratory Use Only

5.1. Our products are NOT intended for human or veterinary use. They are supplied exclusively for analytical standards and laboratory research.

5.2. User Competency: The Purchaser represents they are a qualified professional trained in handling hazardous materials and will maintain a safe system of work. The Purchaser shall indemnify CoreLabs against all third-party claims arising from negligence or misuse.

06 Intellectual Property

6.1. Use of CoreLabs’ proprietary data, logos, or molecular artwork for unauthorized commercial purposes is strictly prohibited. Where goods are manufactured to Purchaser specifications, the Purchaser warrants that such designs do not infringe on third-party patents.

07 Force Majeure

7.1. CoreLabs shall not be liable for failure to perform due to circumstances beyond our control, including but not limited to: global supply chain disruption, industrial disputes, environmental tempest, or regulatory changes.
